About the Role

An internationally connected law practice is seeking a mid-level corporate associate with 3+ years of experience working on complex corporate and financial transactions. The role involves advising publicly listed companies and financial institutions on regulatory matters, governance, and capital-raising activities.

You will participate in a wide range of equity and debt offerings, including initial public offerings, special-purpose acquisition vehicles, direct market listings, and follow-on financing. This role offers significant hands-on responsibility, including drafting documents, coordinating with stakeholders, and managing portions of the transaction lifecycle.

Key Responsibilities

Provide guidance to public companies on corporate governance, regulatory reporting, and disclosure obligations.
Work with issuers and financial intermediaries on market offerings and capital-raising transactions.
Draft, review, and negotiate transaction documents while coordinating with internal teams and external advisors.
Support transactions across multiple industries, with a focus on technology and life sciences clients.
Contribute to team knowledge-sharing and process improvements.

Qualifications

3+ years of relevant experience advising public companies or financial institutions in corporate or capital-raising matters.
Strong understanding of governance, reporting, and disclosure requirements.
Experience with IPO-type transactions, SPACs, direct listings, or follow-on offerings preferred.
Interest in technology or life sciences sectors is a plus.
Excellent written, oral, and interpersonal communication skills.
Must be licensed to practice in New York or eligible for bar admission.
